These Terms of Service (“Terms”) govern your access to and use of our website, products, services, software downloads, and subscriptions (collectively, the “Services”). By accessing or using our Services, you agree to these Terms and our Privacy Policy.

If you do not agree, you must not use our Services.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account or purchase Services from us.

You authorize us to charge applicable fees to your nominated payment method. Subscription services will auto-renew unless cancelled before the end of the current billing period.

4.3 Refunds

Refunds will only be provided as required under Australian Consumer Law. Otherwise, fees paid are non-refundable unless otherwise stated.

4.4 Taxes

All prices are exclusive of applicable taxes. You are responsible for paying any applicable taxes related to your purchases.

5. Software Downloads and Licensing

5.1 License Grant

Subject to your compliance with these Terms and payment of any applicable fees, LexX grants you a non-exclusive, non-transferable, revocable, limited license to download, install, and use our software solely for your internal business purposes.

5.2 Restrictions

You must not:

Copy, modify, distribute, sell, or lease any part of our software;
Reverse engineer, decompile, or attempt to extract the source code;
Use our software to develop competing products.

5.3 Updates

We may provide updates, patches, or new versions of the software. Updates may be mandatory to continue using the Services.

6. Software-as-a-Service (SaaS) Use

Your use of LexX SaaS solutions is subject to:

Fair and reasonable use;
Service-specific terms or Service Level Agreements (SLAs) where applicable;
Use only for lawful, authorised purposes.

We may suspend or restrict your access if you breach these Terms or misuse the Service.

7. Intellectual Property

All intellectual property rights in the Services are owned by LexX or its licensors. Except as expressly provided, you are granted no rights, title, or interest in or to any intellectual property.

8. Acceptable Use

You must not:

Use the Services for unlawful, harmful, or abusive purposes;
Upload viruses or malicious code;
Attempt to gain unauthorised access to our systems.

We reserve the right to suspend or terminate accounts that violate these rules.

9. Warranties and Disclaimers

9.1 General Disclaimers

To the maximum extent permitted by law, our Services are provided “as is” and “as available” without warranties of any kind.

We do not warrant that:

Services will be uninterrupted, secure, or error-free;
Content is accurate, reliable, or fit for a particular purpose.

9.2 Australian Consumer Law

Nothing in these Terms excludes your rights under the Australian Consumer Law, including guarantees that services are provided with due care and skill and that goods are of acceptable quality.

Where permitted by law, our liability is limited to:

The resupply of the Services; or
The cost of resupply.

10. Limitation of Liability

To the fullest extent permitted by law, LexX will not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Services.

Our aggregate liability for any claim arising under these Terms is limited to the amount paid by you for the Services in the 6 months preceding the claim.

11. Termination and Suspension

We may suspend, restrict, or terminate your access to the Services if:

You breach these Terms;
Your account is inactive for an extended period;
Required by law.

You may cancel your account at any time or as specified by any over riding agreements via your account settings or by contacting us.

12. Export Compliance

You must comply with all applicable export control laws and regulations when using our software. You may not use, export, or re-export the software into any country subject to Australian or international sanctions.

13. Privacy

We collect and handle your personal information in accordance with our Privacy Policy found on our website.

14. Governing Law

These Terms are governed by the laws of Victoria, Australia. You submit to the exclusive jurisdiction of the courts of Victoria.
